Onuli Brand Terms and Conditions

This agreement explains how brands (“Seller”) work with Onụli Marketplace (“Onụli”) to sell products through the Onụli platform.
1. Parties

2. How Fulfilment Works
- Items are fulfilled by the brand directly using Onụli shipping service

Onụli provides the following for all orders, including:
- Storage (pop-ups only)
- Shipping logistic shipping labels
- Customer service
- Returns handling

Onụli might use subcontractors to fulfil the above activities.
3. Commission, Pricing & Inventory
Commission

The commission rate is agreed upon following a call with one of our advisors

Commission is calculated on the Line sheet RRP price only.
Pricing
· Onụli applies the agreed commission and other factors to determine the final retail price shown to customers. Including.
- The customer country's import taxes
- Shipping fees
- Operation costs
- Customer discounts
Pricing Fairness & Price Match Clause
To protect marketplace trust and pricing integrity:

The Partner agrees that products supplied for sale on Onụli must not be priced significantly higher than products sold on other platforms.

Artificial price inflation for Onụli listings is not permitted.

Onụli reserves the right to:
-
Request price justification.
-
Decline or remove products that violate this clause.
-
This clause ensures fair competition and protects both customer trust and brand reputation.
Inventory
· Inventory provided for our pop-ups is on consignment only. Onuli does not store any other inventory for the brands.
· The seller is responsible for shipping pop-up inventory to one of our local hubs by the stipulated shipment date. Missing the shipping deadline will require the seller to pay for shipping to the pop-up location directly. Our Hubs are located in.
- Lagos
- Abuja
- Zurich
· Unsold items / returned items are retained for up to 90 days to include in other pop-ups or returned to the Seller. Return shipping is at present only possible to the following locations.
- London (Timeline: 3-5 days shipping).
- Lagos (Timeline: 3-5 weeks shipping).
4. Payments

Sellers are paid monthly for completed orders, no later than 5 days after the month-end.

Example: January sales are paid by the latest 5 February

Payments are made in bulk.

Returns, refunds, or chargebacks are deducted in the next payment cycle.

An order must be ready for collection to be considered complete for a payment cycle.

Monthly reports and end-of-year finance and inventory reports will be provided.

Payment accounts must be provided by the Seller for payments upon signing the contract.
5. Product Approval & Quality

Sellers submit products using line sheets for approval before listing/inclusion in our events/website.

All products must be:
-
Original and authentic (no copies of other brands)
-
High quality (finishing, stitching, fabric, sizing)
-
Legally authorised for sale
-

Onụli may remove products that do not meet quality or brand standards from the platform.
6. Seller Responsibilities
The Seller agrees to:

Provide accurate product descriptions, production timelines, prices, and sizing.
-
Ensure all products are original and not counterfeit.
-
Maintain sufficient stock availability or notify us of out-of-stock products or unfulfillable orders.
-
Provide samples if needed for photography or adequate product photography.
-
Respond promptly to Onụli requests related to orders or quality issues.
7. Photography & Marketing

If Seller images don’t meet Onụli standards, samples may be requested for photography.

Samples will be returned in good condition.
-
Onụli may use product images and descriptions for:

Website
-
Marketing (Print and Online)
-
Social media
-

If Onụli needs to create photography from samples, the Sellers may not reuse Onụli-created images on termination of this agreement unless agreed in writing.

Onụli will perform standard marketing services for all brands to encourage sales; additional marketing services may be requested with associated costs.
8. Order Returns & Chargebacks

Customers have a period of 7 days from receiving the item to raise a request for a return. The seller will be informed of the return request within 48 hours.

Onụli manages all customer returns and refunds. Onụli will cover the cost of the return to the seller, excluding those returns or chargebacks that are due to:

Product defects
-
Quality issues
-

Returns are shipped in bulk to our sellers on a quarterly basis to reduce costs.
9. Intellectual Property

Sellers keep full ownership of their designs and brand.

Sellers confirm they have the right to sell all listed products.

Onụli will not copy or reproduce Seller designs.
-
Seller’s grant Onụli permission to use product content for marketing.
10. Confidentiality & Reputation
-
Both parties agree to:
-
Keep business information confidential.
-
Protect each other’s brand reputation.
-

Sellers may mention Onụli publicly for promotional purposes only; false accusations and defamatory statements will risk legal action.
11. Liability
-
Sellers are responsible for:
-
Product safety and quality.
-
Product Authenticity.
-
Intellectual Property Ownership.
-
-
Sellers agree to protect Onụli against claims related to these issues.
12. Termination
-
Either party may end the agreement with 30 days’ written notice.
-
Onụli may terminate immediately for serious breaches (e.g. counterfeit goods) or illegal activity.
13. Governing Law and dispute resolutions
-
This agreement is governed by the laws of the United Kingdom.
-
This agreement does not create any of the following between Onụli and the Partner Collective Designers.
-
Employment.
-
Agency.
-
Partnership or joint venture.
-
-
Changes to this agreement will be communicated in writing and require agreement.
-
In the event of any disputes arising under this Agreement, the parties shall first seek to resolve the issue amicably through good-faith negotiations, followed by arbitration.

The parties acknowledge that ShopOnuli is a service of Kerri & Partners Ltd (Registered Number: 13520305) in the United Kingdom.
14. Agreement Acceptance
By working with Onụli and listing products on the platform, both parties agree to these terms.
